Scope and contract hierarchy
These Terms govern access to and use of the Flint & Steel Ventures website (“Site”). They do not govern PMHub or another independently operated software product; use of those products is subject to their own terms, including PMHub Terms of Use.
A proposal, statement of work, master services agreement, order, or other separately signed written agreement governs the project or service it covers and controls if it conflicts with these website Terms.
Acceptance and eligibility
By accessing or using the Site, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to do so.
Acceptable use
Use the Site lawfully and do not access systems or information without authorization, interfere with the Site’s operation, introduce harmful code, or use the Site to violate another person’s rights or applicable law. We may take reasonable steps to address misuse or protect the Site.
Website content and intellectual property
The Site’s text, visual design, logos, marks, and other materials are owned by Flint & Steel Ventures, LLC or used with permission. You may view and use the Site for personal or internal business reference. These Terms do not transfer ownership or grant a license to reproduce, modify, distribute, or commercially use Site content or marks beyond rights allowed by law or separately agreed in writing.
Inquiries and project agreements
Information on the Site is general and does not itself make an offer, guarantee that a service is available, or create a client, advisory, or other professional relationship. Sending an inquiry does not require either party to enter a project. Scope, fees, timing, ownership, confidentiality, and other project terms apply only when agreed in a separate written agreement.
Third-party services and links
The Site may link to third-party websites or products, including PMHub, and may use Microsoft Clarity analytics after you allow it. Third-party services have their own terms and privacy practices. Flint & Steel does not control independent third-party services; their terms govern your use of them.
Privacy
Our Privacy Policy describes how information from this Site is handled. It is incorporated into these Terms for privacy matters. Product-specific privacy policies and agreements govern the products and services they cover.
Site operation and changes
We may update, suspend, limit, or discontinue Site content or functionality. We do not promise that the Site will always be available, uninterrupted, error-free, or current. We may revise these Terms by posting an updated version and date. Changes apply prospectively, subject to any notice or consent required by law.
Disclaimers
The Site and its content are provided “as is” and “as available” for general information. To the maximum extent permitted by law, Flint & Steel disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, Flint & Steel Ventures, LLC and its officers, employees, agents, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, goodwill, opportunity, or data, arising from the Site or these Terms. To the maximum extent permitted by law, aggregate liability arising from or related to the Site or these Terms will not exceed the greater of US 00 or amounts you paid Flint & Steel specifically for access to the Site during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited. Some jurisdictions do not allow certain limits, so this section may not apply to you in full.
Indemnification
To the extent permitted by law, you will indemnify Flint & Steel Ventures, LLC and its officers, employees, and agents against third-party claims and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person’s rights. This does not require indemnification for Flint & Steel’s own fraud, willful misconduct, or gross negligence.
Governing law and disputes
These Terms are governed by the laws of the State of Georgia and applicable United States law, without regard to conflict-of-law principles, except that mandatory consumer, privacy, or other protections of your jurisdiction continue to apply when they cannot be waived. Before filing a formal claim, the parties should attempt in good faith to resolve the dispute by contacting [email protected], unless urgent relief, a filing deadline, or law makes that impracticable. Subject to the arbitration paragraph below, state and federal courts located in Georgia have exclusive jurisdiction, except where applicable law requires another forum.
To the extent permitted by law, disputes that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under the rules applicable to the dispute. Consumer disputes are subject to the AAA Consumer Arbitration Rules and Consumer Due Process Protocol; commercial disputes are subject to the applicable AAA commercial rules. The arbitrator may award relief available in an individual action. Either party may bring an eligible individual claim in small-claims court or seek temporary or injunctive relief in a court of competent jurisdiction to protect security, confidentiality, or intellectual-property rights. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in a class, consolidated, collective, or representative proceeding, and the parties waive jury trial for claims subject to arbitration. If this arbitration or class-waiver provision is invalid or inapplicable, the court paragraph above governs.
General terms
Neither party is liable for delay or failure caused by events beyond its reasonable control, except obligations that cannot lawfully be excused. If a provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remainder remains effective. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, or fiduciary relationship.
Entire agreement and contact
These Terms and the Privacy Policy are the entire agreement about use of this Site and supersede prior communications on that subject. They do not replace a separate signed project agreement or product-specific terms. Questions about these Terms may be sent to [email protected].
